The Role
My client, a well established authority within the sports and leisure sector is seeking an experienced and proactive Governance & Compliance Manager to join their team in Kildare. This is a full-time, permanent, hybrid position.
As the Governance & Compliance Manager you will be responsible for overseeing governance and compliance across the organisation, acting as Deputy Company Secretary while ensuring adherence to governance codes, legislation, and company policies.
Tasks & Duties
- Act as Deputy Company Secretary, delivering secretarial services for the organisation’s subsidiaries, maintaining statutory records, filing required returns, and deputising for the Company Secretary as needed.
- Coordinate board meetings, AGMs, and committee governance, including timely and accurate minute-taking, while ensuring absolute confidentiality.
- Manage governance processes for committees and entities supported by shared services.
- Develop, implement, and maintain a group-wide policy management framework, ensuring timely policy reviews and compliance.
- Serve as Freedom of Information decision maker, managing FOI requests, disclosure logs, returns, and parliamentary questions.
- Prepare and support reporting requirements for external stakeholders.
- Monitor, report, and ensure compliance with governance codes, legislation, and internal policies across the organisation.
- Drive continuous improvement by reviewing processes, streamlining workflows, and supporting the adoption of technology and BI tools (e.g., Power BI).
- Provide leadership, guidance, and mentorship within the wider governance, risk, and audit team.
Experience, Knowledge & Qualifications
- 10+ yrs’ experience, including 4+ yrs in governance within a commercial or semi-state organisation; knowledge of company law is desirable.
- Bachelor’s degree in finance, business, governance, accounting, or a related field is required.
- Strong analytical, strategic thinking, and problem-solving skills.
- Excellent communication, influencing, and stakeholder management abilities.
- Results-driven, adaptable, and able to manage multiple priorities.
- Proven leadership and teamwork skills, with the ability to mentor and empower colleagues.
- Continuous improvement mindset, open to innovation and process enhancements.
- Customer-focused, professional, and able to maintain confidentiality.
- Proficient in Microsoft Excel, Word, and PowerPoint; interest in horse racing is a bonus.
